The agreement also includes the transfer of ownership of the existing on-site generator responsible for providing back-up power to maintain system readiness from the Lessor to the Lessee.

FACTS AND FINDINGS:

 

In September 2024, the City of Keizer provided the Facility Space IGA to the City of Salem to establish a formal agreement with the terms and conditions identifying the roles and responsibilities related to the current Lessee owned building and equipment located at 930 Chemawa Road NE Keizer, Oregon 97303. The agreement also includes the transfer of ownership of the existing diesel generator, as shown on Exhibit A, from the Lessor to the Lessee at no cost.

 

Under the terms of the agreement, once executed, the agreement will remain in effect for a period of one (1) year and automatically renew annually unless terminated. Termination by either party is allowed not less than ninety (90) days with prior written notice.

 

For the duration of the agreement, there shall be no rent due from Lessee to Lessor and the costs to maintain the Lessee owned structure are the responsibility of the Lessee.    

 

 

BACKGROUND:

 

The City of Salem provides the City of Keizer with both dispatch services and use of the radio communications system through separate fee-for-service user agency agreements.

 

In 1997, the Lessee added radio receiver site equipment to the former Keizer Police Department building. This receiver equipment was intended to enhance Keizer Police Department (KPD) radio capabilities and allow for dispatchers to clearly hear KPD field units. This modification did not work as intended.

 

In 2002, the existing Lessee owned building was built, located on the grounds of the current Keizer City Hall. This building currently holds only City of Salem radio infrastructure which supports all City of Salem radio system users, specifically areas north of Silverton Road, which includes Keizer Police Department and Keizer Fire District.

 

At the time of construction, the Lessee provided the building, including the equipment and antennas. The Lessor provided the land, the generator, and the electrical power.   

 

The existing building and radio equipment have been in place since 2002.
